The decision to change auditors followed a thorough evaluation and was approved by iAnthus' audit committee.
As per a report, Marcum's reports on the company's financial statements for the years ended December 31, 2022, and 2021 contained no adverse opinions or disclaimers, nor were they qualified or modified regarding uncertainty, audit scope, or accounting principles.
Moreover, there were no disagreements between iAnthus and Marcum on accounting principles, financial statement disclosure, or auditing scope or procedure during the last two fiscal years and subsequent interim periods through March 30, 2023.
There were no reportable events for the company in the last two fiscal years, except for material weaknesses identified in iAnthus' Annual Form 10-K for the years ended December 31, 2022, and 2021, as filed with the U.S. Securities and Exchange Commission (SEC).
Throughout the most recent fiscal years and the subsequent period until PKFOD's appointment, iAnthus did not consult with PKFOD on any matters outlined in Item 304(a)(2)(i) or (ii) of Regulation S-K.
